Welcome to sfwebtech.com. By engaging with our services, you agree to the following Terms and Conditions, which govern the contractual relationship between you (the “Client”) and sfwebtech.com. Please read these terms carefully before proceeding with our services.
1. Contract
The Client’s approval to commence work constitutes a contractual agreement between the Client and sfwebtech.com. Approval may be provided via:
- An email confirming the quote (with the quote document attached).
- A signed quote document by the Client.
sfwebtech.com provides consultancy and allied services in computer-based information technology, including the development of software, designs, planning documents, and creative works (collectively referred to as “Products”). Payment of any advance fee signifies the Client’s acceptance of these Terms and Conditions and authorizes the commencement of work.
2. Usage of sfwebtech.com Services/Products
The Client agrees not to use sfwebtech.com services or products for activities that are:
- Harmful to society or children.
- Illegal in any jurisdiction.
The Client is solely responsible for all content published or distributed through their website, whether hosted on sfwebtech.com servers or elsewhere. The Client must implement appropriate security measures to prevent unauthorized or illegal use of the services or products provided by sfwebtech.com.
3. One-Year Free Technical Support
sfwebtech.com offers one year of free technical support for the following issues:
- Server-side scripting or programming errors/bugs.
- Logical bugs or calculation-related errors.
- Connection errors or API integration issues.
Exclusions: Support is not provided for issues caused by:
- Upgrades or downgrades to servers, software, applications, or extensions.
- Modifications to code/scripts by external parties.
- Operating system or browser version changes.
- Any external factors unrelated to sfwebtech.com’s deliverables.
Unless explicitly included in the project scope, free support does not cover:
- Training on software usage.
- General inquiries about software features.
- Cosmetic or UI/UX updates.
- Enhancements or modifications to default features/functionality.
Support Exclusions by Engagement Type:
Free technical support is not available for:
- Full-time web designer or developer engagements.
- Projects where sfwebtech.com designers/developers work directly with the Client’s team under the Client’s project management.
- Engagements where sfwebtech.com is hired solely for installation, support, or quality assurance, not project development.
4. Photography and Graphics
The following terms apply to photography and graphics:
- Stock Images: Unless otherwise agreed, stock images used in banners, promotional graphics, or animations are not included in project deliverables. The Client is responsible for purchasing licenses for stock images from third parties.
- Invoicing for Stock Images: sfwebtech.com will inform the Client of stock images used and their costs before invoicing, if requested.
- Demo Images: Images provided with bundled software/solutions are for demo purposes only and may not be used commercially unless the Client purchases usage rights or replaces them with their own images.
- Copyright Responsibility: The Client is responsible for ensuring that no third-party copyrights are violated when using images provided by sfwebtech.com for demos.
5. Browser Compatibility
sfwebtech.com designs websites to function seamlessly on the latest versions of popular browsers (e.g., Chrome, Firefox, Edge) at the time of the project agreement. We do not guarantee compatibility with:
- Older browsers, such as Internet Explorer 11 or earlier.
- New browser versions released after project completion.
Compatibility enhancements for older browsers may be provided for an additional fee.
6. Search Engine Submission
Unless explicitly agreed in writing, the following services are not included:
- Submission of websites to search engines.
- Securing high rankings on search engines.
- Search engine optimization (on-page or off-page).
7. Site Maintenance
After the website is live, the following services will be billed separately unless otherwise agreed:
- Content updates.
- Refinements or logical tweaks not planned or approved in advance.
- Design or content presentation updates not previously approved.
- Website care plans (optional maintenance plans billed monthly, if purchased).
8. Content
Once the website is delivered, the Client is responsible for all content, information, and images posted on the website. sfwebtech.com will correct any errors or omissions in content uploaded by our team if reported promptly.
9. Client-Supplied Material
All material provided by the Client remains their property. sfwebtech.com assumes that such material is legally owned by the Client and does not infringe on any copyrights. sfwebtech.com is not liable for claims, damages, or losses arising from the use of Client-supplied material.
10. Domain Names
Domain names registered by sfwebtech.com on behalf of the Client remain the property of sfwebtech.com until the Client has paid all associated fees. Upon full payment, sfwebtech.com will transfer the domain to the Client or their agent upon request. This term does not apply to domains independently booked and owned by the Client.
11. Travel Time and Expenses
Travel time to and from the Client’s premises is not included in project estimates unless specified. The Client will cover all travel-related expenses unless otherwise agreed.
12. Third-Party Add-Ons/Services
The Client is responsible for all third-party costs, including but not limited to:
- Domain name registration.
- Server hosting fees.
- SSL certificates.
- Backup services.
- Third-party APIs, plugins, scripts, or applications.
- Payment gateway signup and recurring fees.
These costs must be paid to sfwebtech.com before registration or integration.
13. Portfolio Usage
Unless otherwise negotiated, sfwebtech.com reserves the right to display the Client’s name, logo, and work performed (e.g., design, development, or promotion) in our portfolio and promotional materials, overriding any prior agreements or NDAs.
14. Quotations
Quotes are valid for one month unless otherwise agreed and cover only the work outlined in the proposal. Changes requested after project initiation will incur additional charges and may require timeline adjustments.
15. Payment Methods
- Clients Outside India: Payments via international wire transfer, credit card, or PayPal through a secure payment gateway.
- Clients in India: Payments via NEFT, RTGS, or physical cheques mailed to our office.
- Other Packages/Services: Payments for services outside standard packages must be made via wire transfer.
16. Payment Terms
- Payment milestones will be agreed upon between the Client and sfwebtech.com.
- Invoices are due within 14 days unless otherwise specified.
- Full website publication or delivery of technical work occurs only after full payment is received, unless agreed otherwise.
- Non-payment may result in the removal of published material, with a minimum $250 USD fee to restore the site.
- Late payments incur a $100 USD fee or 5% of the invoiced amount (whichever is higher) per week of delay.
- sfwebtech.com may halt work and is exempt from meeting timelines if payments are delayed.
17. Cancellation
Either party may cancel the project at any stage:
- Client Cancellation: Payments made are refundable, minus the initial advance and payments for completed milestones.
- sfwebtech.com Cancellation: Payments are refundable, minus $15 USD per hour for work performed (including discussions, planning, and execution). All documents, designs, and scripts will be transferred to the Client after settlement.
18. Penalty Clause
sfwebtech.com Penalties:
- sfwebtech.com commits to completing the project as per the agreed scope and timeline. Delays incur a penalty of X% of the project price per week, up to 8 weeks, where X% = 50 / Project Duration in Weeks (max 4% unless agreed otherwise).
- If delayed beyond 8 weeks, the Client may request cancellation and a full refund (excluding charges for additional requirements or change requests).
- Refunds are adjusted against pending amounts owed, with any remainder refunded via wire transfer or PayPal.
- Upon full refund, the project is canceled, and sfwebtech.com is relieved of all liabilities. The Client may not use any work, designs, or scripts delivered, and unauthorized use incurs the full project price.
Client Responsibilities:
- Provide feedback and project scope details during the documentation phase. Subsequent changes are chargeable and may extend timelines.
- Make timely payments as agreed, or sfwebtech.com is exempt from meeting timelines and penalties.
- Provide feedback on submitted work within 24 hours, or sfwebtech.com is exempt from timeline obligations.
- Changes to functional requirements will incur additional costs and timeline revisions.
19. Delayed Client Response
Unreasonable delays in providing feedback, information, or data exempt sfwebtech.com from meeting project timelines. If the Client fails to provide required details for more than 5 working days, sfwebtech.com may forfeit payments made. If communication ceases for 10 calendar days, the project is deemed accepted, and sfwebtech.com may invoice the remaining amount.
Project Hold:
The Client may place the project on hold if:
- A resumption fee of $1,000 USD or 30% of the project price (whichever is higher) is paid.
- The hold period does not exceed 1 month.
- The project team may differ upon resumption.
- The resumption fee applies each time the project is placed on hold.
20. Escalation
To resolve issues promptly, follow this escalation process:
- First Level: For delays or unsatisfactory responses from the Project Manager/Business Analyst, contact Sadaf at sadaf@sfwebtech.com. Expect a response within 3 working days.
- Final Escalation: If unresolved or no response within 5 business days, contact Chief Sales Officer Sohail Farooq at sales@sfwebtech.com for immediate action.
21. Time Estimates
Timelines are contingent on the project scope remaining unchanged after finalization. Any Client-initiated changes require a minimum 1-week timeline extension per change request.
22. Profit Sharing
After full payment, sfwebtech.com will not claim any share of the Client’s business profits or proceeds from the sale of the business.
23. Copyright and Ownership Rights
sfwebtech.com retains copyright over all materials created (e.g., designs, artwork, source code) unless otherwise agreed in writing. The Client owns rights to:
- Materials supplied by the Client (e.g., logos, images).
- Website designs or creatives, if custom-designed with exclusive rights.
- Source code, if the project includes exclusive rights.
For single-domain license projects, the Client may use the system only on designated domains and must protect system files from unauthorized access.
24. Intellectual Property
Unless otherwise agreed, sfwebtech.com owns the source code and intellectual property rights and may reuse code for other projects. The Client agrees not to:
- Create unauthorized copies of sfwebtech.com’s software, scripts, designs, or documents.
- Share, transfer, or access sfwebtech.com’s proprietary materials without authorization.
- Reverse engineer any sfwebtech.com software or scripts.
- Make sfwebtech.com materials available to third parties or use them to provide services to others without written consent.
Breach of Terms:
A breach of these terms authorizes a court in India or elsewhere to award sfwebtech.com $100,000 USD per violation, plus legal fees, as interim relief. sfwebtech.com may pursue higher damages and criminal proceedings.
25. Termination
Either party may terminate this agreement, but both parties must fulfill their obligations under the agreement until termination is complete.
Notes
- sfwebtech.com is not liable for damages, including lost profits or consequential damages, arising from the operation or failure of websites or services, even if advised of such possibilities.
- Errors in website content may occur despite best efforts. sfwebtech.com’s responsibility is limited to correcting reported errors.
- Waiving a term for an individual Client does not affect the validity of other clauses or commit sfwebtech.com to waive the same term for others.
- These terms do not affect the Client’s statutory rights.
- sfwebtech.com may modify these Terms and Conditions at any time, but agreements signed prior to updates remain unaffected.
